1. Legal Information

This Terms of Service is provided by:

Vanmeenen&Co, a brand strategy and visual communication agency.

2. Purpose

The purpose of these Terms of Service is to define the terms and conditions under which Vanmeenen&Co provides its services in the areas of brand strategy, visual creation, editorial content, and marketing support.

Any service order implies the client’s full and unconditional acceptance of these Terms.

3. Access to Services

Services are available to professionals following a personalized consultation, the approval of a quote or offer, and the payment of the agreed amounts.

The service will commence only after:

  • Formal acceptance of the offer

  • Payment of the deposit or the total amount, according to the specified terms

Communication between the parties takes place via email or video conference.

4. Client Obligations

The client agrees to:

  • Provide accurate, up-to-date, and complete information

  • Be available to validate the project milestones

  • Respect the agreed response deadlines

  • Not share the materials provided with third parties without authorization

Any failure to comply with these obligations may result in the postponement or suspension of the service, without the possibility of a refund.

5. Vanmeenen&Co’s Obligations

Vanmeenen&Co undertakes to:

  • Provide a professional service in accordance with the agency’s quality standards

  • Make every effort to meet the agreed deadlines

  • Maintain the confidentiality of the information provided by the client

  • Inform the client of any issue that may affect the progress of the project

6. Pricing and Payment Terms

Prices are stated in euros (€), all taxes included (VAT included), unless otherwise specified.

  • Payment is made either in a single installment or according to a schedule defined in the offer.

  • Accepted payment methods are: bank transfer (preferred).

  • In the event of late payment, penalties may be applied (10% after 15 days).

Any failure to make payment entitles Vanmeenen&Co to suspend the service without prior notice.

7. Deadlines and Delivery

Delivery times are provided for information purposes only.

Vanmeenen&Co makes every effort to meet them but cannot be held responsible for any delay caused by:

  • Delays in validation or in providing content by the client

  • External events or cases of force majeure

8. Right of Withdrawal

As the services offered are custom-made for professionals, no right of withdrawal applies, in accordance with Article L221-28 of the French Consumer Code.

9. Intellectual Property

All content created by Vanmeenen&Co (texts, visuals, strategies, mock-ups, etc.) remains the exclusive property of the agency until the service has been paid for in full.

Once payment has been received in full, the client is granted a strictly personal and non-exclusive right of use, unless otherwise specified.

Any resale, modification, or reuse without written authorization is strictly prohibited.

10. Confidentiality

Information exchanged during the collaboration is considered confidential.

Vanmeenen&Co undertakes never to disclose, publish, or use the data provided by the client for purposes outside the scope of the project.

11. Cancellation / Termination

In the event of cancellation of the service by the client:

  • Amounts already paid remain the property of Vanmeenen&Co.

  • No refund may be claimed.

In the event of a serious breach of contractual obligations (repeated delays, lack of response, disrespectful behavior, etc.), the agency reserves the right to terminate the service at any time.

12. Liability

Vanmeenen&Co is bound only by an obligation of means.

The agency cannot be held responsible for any commercial or financial results achieved (or not) following the service, nor for any misuse of the materials delivered by the client.

13. Applicable Law – Jurisdiction

These Terms are governed by Belgian law.

In the event of a dispute, the parties will endeavor to reach an amicable solution.

Failing that, the dispute shall be submitted to the exclusive jurisdiction of the courts of Tournai (Judicial District of Hainaut).
